DESCRIPTION:Mr. Stam will talk about the issues that investors shall be aware of in the development process\, and most recent issues in  land  condemnation  and  the  new  statutes of limitation on  land  use  violations. \n  \nMr. Stam’s BIO: \nPaul “Skip” Stam recently completed 16 years in the State House\, the last 10 years serving as Republican Leader and then Speaker Pro Tem.  For 41 years he has lived and has practiced law in Apex\, he has closed approximately 5000 real estate transactions. \nHe received a B.S. with High Honors in Criminal Justice from Michigan State (1972) and the JD from UNC – Chapel Hill School of Law (1975). \nHe taught law at varieties of law schools such as Campbell University\, the Foreign Trade Institute in Tianjin\, China and Xi Ke Da University in Mianyang\, China. He also gave continuing legal education lectures on different types of law from time to time. Mr. Stam is actively posting articles and books as well. \nIn his law practice he spends most of his time on real estate transactions and litigation and state constitutional law.  While in the General Assembly his areas of focus were real estate\, criminal\, pro-life\, school choice and other educational initiatives at all levels.  His website www.paulstam.info has voluminous information on current issues. \n

She will then close with some future projections for North Carolina’s population. \nJessica Stanford is a Demographic Analyst with Carolina Demography at the Carolina Population Center at UNC-Chapel Hill. In his early career\, he was a successful corporate senior manager in several corporations including Lockheed Martin and Nortel Networks. In 2002\, in the wake of the high tech bubble bursting\, he was laid off by Nortel Networks in the brisk of a chapter 11 bankruptcy. He then chose to continue his career by starting his own business. During the years\, he has done business in government contracting\, IT development and support\, education\, medical devices import/export\, medical device manufacturing\, real estate investment\, real estate brokerage\, mortgage loan brokerage\, and corporate financial accounting. His business foot print is all over the world. 15 years later\, he is now the owner of several businesses working in medical device manufacturing\, real estate investment\, corporate financial accounting\, and real estate brokerage and mortgage loan origination. Dr. Wang’s philosophy of business is the one focusing on agility\, collaboration\, and risk management. \nDr. Wang also believe in giving back to the community. He is a long-time volunteer for NCCBA and Cary Chinese School and Asian American Journalist Association North Carolina Chapter. He also volunteered in many important local events such as the “Hongbin Gu for Chapel Hill Council” which elected the first Chinese American local councilwoman in North Carolina.

Slipsky \nIn this presentation\, five major topics that relate to the life cycle of a typical start-up business will be discussed:  Entity Formation; Early-Stage Capital Raising; Employee Issues; Business Contract Issues; and Mergers & Acquisitions. \nFirst\, the topic about various kinds of limited liability entities that a business owner may select and why conducting business through a limited liability entity is an important means of protecting the owner’s personal assets will be addressed. Also\, the questions such as where to form the entity and how professional licensing laws can impact entity formation\, governance and ownership will be addressed. \nSecond\, the discussion of capital raising will introduce basic principles of securities law compliance and how early-stage companies typically address them. Also\, a summary overview of a typical private securities offering will be provided. \nThird\, although employee issues could easily be the topic of an entire presentation\,  a high-level discussion of some employment-related issues that frequently arise for early-stage companies will be provided.  These include the concept of at-will employment\, the enforceability (or lack thereof) of covenants not-to-compete\, and incentive compensation plans. \nFourth\, once a business is up and running\, it will frequently need to enter into contracts with its customers\, vendors\, service providers\, landlords and joint venture partners.  A number of issues that arise in the course of negotiating these kinds of business contracts will be discussed\, including appropriate risk allocation provisions\, anti-assignment and change-of-control clauses\, personal guarantees and the potential importance of so-called “boilerplate” provisions. \nFinally\, what is oftentimes the end of a successful business’ life cycle—the sale of the business to an acquirer in an M&A transaction will be discussed.  Topics to be discussed include common transaction and financial structures\, a summary of a typical M&A acquisition agreement\, an overview of the M&A process\, and certain post-transaction issues. \n\nMichael E. Slipsky\n \nBio: Mike is an attorney in the Business Organizations group and has practiced with the firm since 2005.
