SUMMARY:2018 April Luncheon - Decoding the Mysteries of Interpersonal Relationships
DESCRIPTION:NCCBA Board of Director Peter Cheng will lead a discussion right after Dr. Hills regarding how to apply what learned from Dr. Hills to improve your real estate investment business. Peter will lead the audience to crack the code why some real estate investors can have stellar performance\, and why many are just getting mediocre result.\nDecoding the Mysteries of Interpersonal Relationships \n \nPresenter: Hope I. Hills\, Ph.D.\, Board Certified Coach \n“You cannot prevent the birds of sorrow from flying over your head\, but you can prevent them from building nests in your hair.”\n— Chinese Proverb \nDon’t you wish that you had a magic wand to wave over every relationship in your life? Wouldn’t it be great if there was a way to overcome all your business\, personal and family difficulties whether they are within your own culture or across multiple cultures? Haven’t you always wished that\, as a leader\, you could confidently work with any employee no matter how difficult they are and engage all your employees to experience maximum health and success? Finally\, can you imagine having the tools to create a great team around you and utilize a common set of agreements to ensure the smooth and efficient function of the entire human component – or “human system” – in your organization? \nThis talk will help you begin to unlock the answers to these relationship mysteries through exploring the basics of the Interpersonal Flexibility Circle©. By the end of this short introductory talk\, you will recognize how you could possibly get into trouble with colleagues\, subordinates and bosses as well as friends and family.  You may be surprised how easy it is to avoid this situation with her method. \nDr. Hills is a leadership coach\, organizational consultant and counseling psychologist. Since 1991\, she has consulted with a wide variety of leaders and teams from Fortune 50 companies to small non-profit organizations. By using effective approaches to decode an understanding of people\, organizations and themselves\, she has helped them develop into high functioning\, highly successful and healthy leaders\, teams and organizations. \nAt the core of her work is the Interpersonal Flexibility Circle© that she developed based on 50+ years of research into Interpersonal Theory by many psychologists.   Since her years as a professor at the University of Missouri\, where she founded the International Student’s Organization\, she has used the Interpersonal Flexibility Circle© to help people successfully work with each other\, across many cultures. She has used this method with multicultural teams in China\, Germany\, Korea\, and the US. One of our NCCBA members\, Tong Li\, translated it into Chinese for her before she went to China for a week of training and working with a team of Chinese and American workers in a plant there. After the training\, they understood each other better and therefore communicated much more effectively. As a result\, they were able to increase their productivity. \nAnd best of all\, this short talk invites you to explore those relationship mysteries that confuse and frustrate you. Think of one or two experiences that have built nests in your hair and be ready to gain new insights into how to lead your people\, your family\, and most importantly\, your SELF! \nWhen: April. 6th (Friday) 12 pm – 1:30 pm\nWhere: Alexandria Real Estate Campus\, 6 Davis Dr. Durham\, NC 27709\nMembers: $5 to cover the lunch of pizza.\nNon-members: Please order/purchase a $5 “Non-Member Paid Ticket” below through our shopping cart and $10 to cover the lunch of pizza.\nRegistration: Free ticket by clicking Confirm RSVP button on the event page\nLanguage: English

SUMMARY:Legal Issues in the Life Cycle of a Business (Note: Address changed)
DESCRIPTION:Notice: Please note the venue has been changed. \nEvent Venue: (The address has been changed to) 6 Davis Dr. Durham\, NC 27709    Alexandria Real Estate Campus (former The Hamner Institutes for Health Sciences)\n\n\n\nLegal Issues in the Life Cycle of a Business\nPresenter: Michael E. Slipsky \nIn this presentation\, five major topics that relate to the life cycle of a typical start-up business will be discussed:  Entity Formation; Early-Stage Capital Raising; Employee Issues; Business Contract Issues; and Mergers & Acquisitions. \nFirst\, the topic about various kinds of limited liability entities that a business owner may select and why conducting business through a limited liability entity is an important means of protecting the owner’s personal assets will be addressed. Also\, the questions such as where to form the entity and how professional licensing laws can impact entity formation\, governance and ownership will be addressed. \nSecond\, the discussion of capital raising will introduce basic principles of securities law compliance and how early-stage companies typically address them. Also\, a summary overview of a typical private securities offering will be provided. \nThird\, although employee issues could easily be the topic of an entire presentation\,  a high-level discussion of some employment-related issues that frequently arise for early-stage companies will be provided.  These include the concept of at-will employment\, the enforceability (or lack thereof) of covenants not-to-compete\, and incentive compensation plans. \nFourth\, once a business is up and running\, it will frequently need to enter into contracts with its customers\, vendors\, service providers\, landlords and joint venture partners.  A number of issues that arise in the course of negotiating these kinds of business contracts will be discussed\, including appropriate risk allocation provisions\, anti-assignment and change-of-control clauses\, personal guarantees and the potential importance of so-called “boilerplate” provisions. \nFinally\, what is oftentimes the end of a successful business’ life cycle—the sale of the business to an acquirer in an M&A transaction will be discussed.  Topics to be discussed include common transaction and financial structures\, a summary of a typical M&A acquisition agreement\, an overview of the M&A process\, and certain post-transaction issues. \n\nMichael E.
